Agreement to Our Legal Terms

Penvoy (“we”, “us”, or “our”) is an independent software service operated from Guatemala.

We operate the website https://www.penvoy.app (the “Site”), along with any related products, applications, AI tools, and services that reference or link to these Terms (collectively, the “Services”).

These Terms of Service constitute a legally binding agreement between you (“you” or “user”) and Penvoy regarding your access to and use of the Services.

By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

We may update these Terms at any time. Continued use of the Services after changes are posted means you accept the updated Terms.

The Services are intended only for users who are at least 18 years old.

Our Services

The Services are provided globally. Users accessing the Services from other jurisdictions are responsible for compliance with local laws.

The Services are not designed to comply with industry-specific regulations such as HIPAA, FISMA, or similar frameworks. You agree not to use the Services in ways that would require such compliance.

Intellectual Property Rights

All software, AI systems, workflows, algorithms, databases, platform functionality, designs, text, graphics, branding, and other materials forming part of the Services (“Platform IP”) are owned by or licensed to Penvoy and are protected by copyright, trademark, and other intellectual property laws worldwide.

All software, AI outputs, workflows, and platform functionality provided by Penvoy remain the intellectual property of Penvoy.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes.

You may not copy, resell, reverse engineer, redistribute, or commercially exploit any portion of the Services without our prior written consent.

User Accounts

You may be required to create an account. You agree to:

  • Provide accurate information
  • Keep your login credentials secure
  • Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

Subscriptions and Payments

Certain features require paid subscriptions.

Subscriptions automatically renew unless cancelled before the billing period ends.

You may cancel at any time. Cancellation takes effect at the end of the current billing cycle.

We may change pricing with reasonable notice.

Prohibited Uses

You agree not to:

  • Use the Services for unlawful purposes
  • Attempt to hack, disrupt, or overload the platform
  • Reverse engineer or scrape platform data
  • Use automated bots without permission
  • Upload harmful, abusive, or infringing content
  • Compete directly using copied platform functionality

User Content

You retain ownership of content you upload.

However, by using the Services you grant Penvoy a worldwide, royalty-free license to host, process, display, and improve the Services using such content.

You represent that you have the rights to upload any content you submit.

Copyright Infringement

If you believe content infringes your copyright, contact support@penvoy.app with details so we can investigate.

Termination

We may suspend or terminate access at any time for violations of these Terms or misuse of the Services.

Disclaimers

The Services are provided “as is” without warranties of any kind.

We do not guarantee uninterrupted availability, accuracy, or error-free performance.

Limitation of Liability

To the maximum extent permitted by law, Penvoy shall not be liable for indirect, incidental, or consequential damages.

Our total liability for any claim shall not exceed the lesser of:

  • The amount paid by you in the previous 6 months, or
  • $100 USD

Indemnification

You agree to indemnify and hold Penvoy harmless from claims arising from:

  • Your misuse of the Services
  • Your violation of these Terms
  • Your infringement of third-party rights

Governing Law

These Terms are governed by the laws of Guatemala.

Dispute Resolution

Before initiating arbitration, both parties agree to attempt informal negotiation for 30 days.

If unresolved, disputes shall be settled by binding arbitration:

  • Seat of arbitration: Guatemala City, Guatemala
  • Language: English
  • Number of arbitrators: 1

Arbitration will be conducted under internationally recognized arbitration rules.

Class-action disputes are not permitted.

Data and Privacy

Use of the Services is also governed by our Privacy Policy.

By using the Services, you consent to the transfer and processing of data in jurisdictions where we operate servers or infrastructure.

Electronic Communications

You agree to receive communications electronically and accept electronic agreements and signatures.
